Independent Club Member Agreement

INDEPENDENT CLUB MEMBER AGREEMENT, between Craft Paradise Inc. (hereinafter “the Organization”) and Club Member (hereinafter “the Independent Club Member”).

The parties hereto agree as follows:

1. CONTRACT. The Organization shall define scope of work with the Independent Club Member, and the Independent Club Member shall serve the Organization upon the terms and conditions hereinafter set forth.

2. TERM AND EXTENSION. The terms of this agreement shall commence on the date of submission of this form and shall continue until terminated by either party.

3. DUTIES. During the period of this contract, the Independent Club Member shall serve the Organization and shall perform services requested in connection with their business.

4. TIME REQUIREMENTS. The Independent Club Member is not required to work any specific hours, days, or schedules. The Independent Club Member understands that compensation for work is based on productivity and assumes responsibility for working the amount of time necessary to achieve individual income goals.

5. COMPENSATION. The Organization shall pay to the Independent Club Member for services:

  • Commission based on level achieved according to rank achieved.
  • Bonuses according to compensation plan.
  • Retail Sales Commissions are paid weekly.
  • Team Bonuses are paid by the 5th of each month for transactions completed the previous month, with a minimum payment threshold of $10.00.  Earnings less than $10.00 will be retained within the Club Member’s account until the minimum threshold is reached. At that point, the earnings will be issued on the next payment cycle.
  • FOUNDER BONUSES are subject to charge backs should the personally sponsored Club Member terminate their agreement with the Organization or have their agreement terminated by the Organization within the first 30 days of their contract.
  • Club Members will need to complete an IRS Form w9 when earnings reach $600 for tax reporting purposes.

6. INDEMNIFICATION AND HOLD HARMLESS PROVISION. The Independent Club Member agrees hereby to indemnify and hold harmless the Organization from any and all claims by the Independent Club Member, which may arise out of and in the course of the performance of duties hereunder. Any and all claims for unemployment benefits and or claims for workers’ compensation benefits are hereby expressly waived by the Independent Club Member who agrees to maintain separate policies of liability, health, and accident insurance as may be necessary or required by the Organization in connection with the performance of its duties herein.

7. RELATIONSHIP BETWEEN PARTIES. The Independent Club Member is contracted by the Organization only for the purposes and to the extent set forth in this Agreement, and the relation to the Organization shall, during the term of this contract, be that of an Independent Club Member. The Independent Club Member shall not be considered as having an employee status or as being entitled to participate in any plans, arrangements, or distributions by the Organization pertaining to or in connection with any insurance, pension, stock, bonus, profit-sharing, or similar benefits for their regular employees.

8. MAINTAIN ACTIVE STATUS. To maintain active status, the Independent Club Member is required to have a purchase made by himself/herself of $150 once per quarter. This purchase is in addition to the required Business Kit purchase at time of enrollment as a Club Member. Failure to make this purchase will have their status placed in suspension until the order is placed. If after the second consecutive quarter of no required purchase being placed, the Independent Club Member will have their Independent Club Member account cancelled without further notice.

  • Purchase requirement is cumulative each month of quarter
  • Qualify=$75/quarter=$25/month 1, $25/month 2, $25/month 3, etc.
  • Does Not Qualify=$25/month 1, $0/month 2, $25/month 3, etc.
  • Month entails the 1st day of the month to the last day of the month.
  • Join month is not counted in the purchase requirement, therefore you are allowed 1 extra month into the new quarter.
    • Example-Join/month 1, $25/month 2, $25/month 3, $25/month 1-new quarter
    • 2nd quarter qualification would be in addition to 1st quarter qualification, and subject to purchase requirement to qualify as active status.

9. PROFESSIONAL RESPONSIBILITY. Nothing in this Agreement shall be construed to interfere with or otherwise affect the rendering of services by the Independent Club Member in accordance with his independent and professional judgment. The Independent Club Member shall perform services in a good and workman like manner and in accordance with generally accepted marketing practices.

10. AGREEMENT. The within Agreement shall be construed in accordance with Florida law and shall be used in conjunction with Club Member Policies & Procedures provided to the Club Member by the organization. 

11. THREE DAY COOLING OFF RULE-REFUNDS. Notwithstanding Craft Paradise’s retail customer guarantee policy, all retail sales must comply with the FTC Three Day Cooling Off Rule, which requires statutory language and notice of cancellation on the retail sales receipt. The three day right of cancellation must be orally explained to the customer and the customer must receive two copies of the notice of cancellation form.

12. NO COMPETE RULE. There are no rules regarding sales of competitive products unless you intend to become a team leader. If you have a team of five or more persons in your downline, you may not sell or associate yourself with any other company that is selling like products either as primary or secondary product line.  

13. VENDOR CONFIDENTIALITY. Craft Paradise’s business relationship with its vendors, manufacturers and suppliers is confidential. A Club Member shall not contact, directly or indirectly, or speak to or communicate with any Club Member of any supplier or manufacturer of Craft Paradise’s except at a Craft Paradise Inc.’s sponsored event at which the Club Member is present at the request of Craft Paradise Inc.. Violation of this regulation may result in termination and possible claims for damages if the vendor/manufacturer’s association is compromised by the Club Member contact.

14.  CRAFT PARADISE INC.’S RIGHTS. Craft Paradise’s expressly reserves the right to alter or amend prices, Rules and Regulations, Policies and Procedures, product availability and compensation plan. Upon notification, in writing, such amendments are automatically incorporated as part of the agreement between Craft Paradise and the Club Member. Craft Paradise’s communication of changes may include, but shall not be limited to mail, email, fax, posting on Craft Paradise’s website, publication in Craft Paradise’s newsletters or magazines, etc.

*If signed electronically, the electronic signature shall constitute legal signature by Club Member agreeing to enter into this agreement and to be legally bound by terms and conditions contained herein.
